These List Build Terms ("List Terms") are a binding agreement between you ("Client," "you") and TaskBullet LLC ("TaskBullet," "we," "us"), a Utah limited-liability company. They apply when you request, approve, pay for, or use a prospect list we build ("List"). They supplement the Terms of Service. If they conflict on list builds, these List Terms control.
By checking the agreement box, approving an estimate, authorizing a card hold, buying hours for a list, or otherwise starting a list build, you agree to these List Terms in full. If you do not agree, do not approve or pay for a list.
1. What you are buying
You are buying a custom list-build: we compile contact records that match the brief you approve (channels, audience, geography, volume, and fields). You receive a file for your own internal sales and marketing. You do not buy our underlying database, sources, methods, or a license to resell contacts.
Records may come from TaskBullet, our specialists, and third-party data partners. Count, fields, and coverage depend on what is available for that brief. We may deliver fewer records than requested when the market cannot support the volume at the quality we will file.
2. Estimate, hold, and your agreement to pay
The price on the approval screen is a live estimate for the brief you submitted. Approving it is an order, not a free quote request.
- You agree to pay the estimate and the final list price for the file we deliver.
- You may pay from prepaid hours already in your bucket, authorize a card hold for the estimate, or buy hours so we can pull the list price from that bucket.
- A card hold works like a hotel check-in: we reserve the estimate on your card. That hold is not the final charge. After the file is in, we capture the final list price (and release any unused hold).
- If you pay from hours, we hold the estimate against your bucket when we start, then bill the final list price against that bucket.
- The final price is based on the records we actually deliver and the live rate for that brief. It may be less than the estimate if we deliver fewer records. If the final price would exceed the authorized amount, we will not capture more than you authorized without your further approval.
- We do not start building until payment is confirmed (bucket hold, card hold, or a complimentary account). Starting the build is acceptance of the estimate.
- Hours purchased to cover a list stay in your bucket for other TaskBullet work, subject to the Terms of Service. Hours (or wallet dollars) applied to a delivered list are used and are not unused hours under the 60-day unused-hour guarantee.
3. Lists are provided as-is
THE LIST AND ANY RELATED DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE." To the maximum extent permitted by law, TaskBullet disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, currency, reachability, and deliverability.
- Contact data goes stale. People change jobs, numbers, emails, and addresses. A record that looks valid when we file it may bounce, go unanswered, or be wrong later.
- We do not warrant a minimum number of leads, a match rate, an email open or bounce rate, a connect rate, or any sales or marketing result.
- We do not warrant that the List, or using it, will make you compliant with any law, rule, industry standard, or internal policy.
- Your use of the List is at your own risk. Independently verify records before you rely on them for outreach or any other purpose.
4. How you may use the List
We grant you a limited, non-exclusive, non-transferable license to use the delivered file for your own internal B2B or legitimate direct-marketing of your products and services. You may keep the file you paid for and load it into your own CRM or tools.
You may not:
- Resell, rent, license, publish, or give the List (or a substantial part of it) to anyone else.
- Use the List to build or enrich a competing contact database or list product.
- Use the List to train public AI models or a data product you sell.
- Use the List for any Fair Credit Reporting Act purpose, including credit, insurance underwriting, employment, tenant screening, or a consumer report.
- Use the List for unlawful, deceptive, or abusive practices, or for payday lending, illegal drugs, weapons, or similar prohibited offers.
5. You are responsible for how you use the contacts
You are solely responsible for every call, text, email, mail piece, visit, or other contact you (or anyone working for you) make using the List. That includes obtaining any consent, providing any notice, honoring opt-outs, and scrubbing suppression lists.
Without limitation, you must comply with:
- The Telephone Consumer Protection Act (TCPA) and state calling and texting laws.
- The CAN-SPAM Act and other commercial-email rules.
- Federal and state Do Not Call rules, and your own suppression lists.
- CASL, GDPR, CCPA/CPRA, and other privacy or direct-marketing laws that apply to you.
TaskBullet does not obtain consent for you to call, text, email, or mail anyone on the List. Wireless numbers, if present, are not supplied with TCPA consent. We do not promise that any record is off a Do Not Call list or is lawful for autodialers, prerecorded messages, or marketing texts.
6. Indemnification
You will defend, indemnify, and hold harmless TaskBullet and its officers, contractors, specialists, and data partners from claims, damages, fines, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the List; (b) your outreach, offers, or messages to people on the List; (c) your breach of these List Terms or the Terms of Service; or (d) your violation of law or third-party rights, including TCPA, CAN-SPAM, privacy, and consumer-protection claims.
7. Limitation of liability
- TaskBullet is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, lost business, or the cost of substitute lists, even if we were told they were possible.
- TaskBullet's total liability for a list build is limited to the amount you paid TaskBullet for that List.
- If we cannot deliver a List after you have paid or authorized a hold, your exclusive remedy is a release of the unused hold and a refund or bucket credit of the unused list price for that order.
8. Refunds
- The estimate hold is not a charge. Unused hold amounts are released after we capture the final price or if we cancel the order.
- Once we start the build, the list price is earned for work performed. After the file is delivered, the list price is non-refundable because the records have been compiled and released to you.
- Dissatisfaction with sales results, bounce rates, or "these people did not buy" is not a basis for a refund. Lists are not a guarantee of pipeline.
- The 60-day unused-hour guarantee in the Terms of Service applies to unused VA hours, not to a delivered list or to hours already applied to a list.
9. Other terms
- These List Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. Disputes are resolved in the state or federal courts in Utah, as in the Terms of Service.
- We may update these List Terms. The version you agree to at checkout (shown by the "Last updated" date) governs that order.
